Welcome to Destination.ma (the "Platform"). These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“User”, “Client”, or “Partner”), and Destination.ma by AbodyStudio Sarl (“we”, “us”, or “our”), concerning your access to and use of the www.destination.ma website as well as any other media form, mobile website, or mobile application related or connected thereto.

By accessing the Platform, executing a booking, claiming a listing, or registering an account, you acknowledge that you have read, understood, and agreed to be bound by all of these Terms and Conditions. If you do not agree, you are explicitly prohibited from using the Platform and must discontinue use immediately.

1. NATURE OF THE PLATFORM & DUAL BUSINESS MODEL

Destination.ma operates as a centralized hybrid directory and transactional marketplace designed for the Moroccan hospitality, travel, wellness, and event sectors. The Platform hosts two distinct types of business representations:

  • Unclaimed Directory Listings: The Platform compiles public business information (names, publicly available addresses, public contact information, and operating categories) to build a comprehensive service directory for consumers. These businesses receive free public visibility and non-intermediated, direct exposure. Destination.ma does not own, endorse, or authenticate the operations of unclaimed listings.
  • Claimed & Verified Partner Profiles: Verified professionals (Hotels, Riads, Car Rental companies, Tour Agencies, Travel Agencies, Salons, Spas, and Event organizers) who actively claim their profile or register an account. These profiles operate as verified marketplace merchants, accepting platform-managed transactional bookings subject to commercial commissions.

2. LISTING DIRECTORY AND PUBLIC DATA FAIR USE

  • Public Information Scraping & Hosting: In compliance with public availability standards, Destination.ma indexes and displays basic business data. This data is hosted for informational and consumer-transparency purposes only.
  • Accuracy of Directory Data: Because unclaimed directory information is gathered from public sources, the Platform makes no warranties regarding its absolute accuracy, current status, or completeness. The Platform assumes zero liability for outdated phone numbers, wrong physical addresses, or pricing discrepancies displayed on unclaimed listings.
  • Removal and Modification Requests: Any business owner who wishes to modify their public data or requests to have their unclaimed profile permanently removed from our public directory index can submit a formal request to our support team. Removal requests are processed within a reasonable administrative timeframe free of charge.

3. PROVISIONS FOR THE PROFILE CLAIMING PROCESS

  • Verification Thresholds: To take control of an unclaimed directory profile, a business representative must click the "Claim Listing" button and submit definitive legal proof of ownership. This includes, but is not limited to, providing a valid copy of the company's Trade Registry certificate (Registre du Commerce - RC), Common Identifier of Enterprise (ICE), and valid identity documents of the authorized manager.
  • Approval Discretion: Destination.ma retains total discretionary authority to approve, deny, or revoke any claimed listing profile. If multiple parties claim the same business profile, the account will be frozen until conclusive corporate documentation is produced.
  • Transition to Commercial Partner Status: Once a claim is verified, the profile transforms into an active Marketplace Partner. By taking over the profile, the Partner explicitly accepts the platform’s transactional booking rules, algorithmic ranking factors, and commission schedules outlined in Section 5.

4. ACCEPTABLE USE & LEGAL ELIGIBILITY

  • Legal Capacity: By using the Platform, you warrant that you possess the legal authority to enter into binding contractual commitments under Moroccan law.
  • Prohibited Conduct: Users and Partners shall not manipulate the platform's transactional engine, transmit malicious code, scrape user metadata, post fraudulent or defamatory consumer reviews, or misrepresent their corporate affiliation with third-party brands.

5. REVENUE TRANSACTIONS, BILLING, & PARTNER BALANCE DISBURSEMENTS

Once a business profile is claimed and active as a transactional Partner, the following financial rules apply:

  • Online Booking Collection: When a Client pays for an offer electronically on the Platform, Destination.ma captures the full amount, holds funds safely, and allocates net earnings to the Partner's balance after deducting the platform's standardized booking commission.
  • Automated Partner Disbursements: Verified platform partners can initiate manual balance withdrawals or opt into our automated disbursement schedules, which execute payouts every Monday or on the 5th day of each calendar month. Transfers generally settle into verified bank accounts within 1–3 business days, subject to standard minimum thresholds and platform processing fees.
  • On-Site Payments & Partner Invoicing: For bookings designated for payment at the venue, the Partner collects the total amount on-site. The platform's corresponding commission is systematically deducted from future online platform earnings or issued via an electronic invoice. Invoiced commissions must be settled in full by the Partner within 7 calendar days of issuance. Failure to settle balances within this timeline results in automatic listing suppression, followed by total dashboard suspension.
  • Taxation Remittance: Destination.ma applies and collects Value Added Tax (VAT) only on its corporate commission fee. The reporting, declaration, and payment of VAT on underlying sales, tourist levies, and local administrative duties remain the exclusive individual responsibility of the listing Partner.

6. CANCELLATIONS, EXPIRATIONS, & SYSTEM REFUNDS

  • Partner Request Expirations: To protect client experience and minimize unconfirmed booking friction, Partners must respond to pending reservation requests promptly. Unanswered or unconfirmed booking requests will automatically expire and be cancelled by the platform, triggering an automatic full refund to the client.
  • Platform Fee Allocation on Justified Refunds: If a Client secures a full refund under an active listing cancellation policy, or because a service was definitively not rendered as described, they will receive a refund covering the entire transaction amount, including platform service fees. The Partner returns their distributed allocation, and the Platform returns its corresponding commission fraction.
  • Off-Platform Circumvention (Fraud): Bypassing the Platform's booking or checkout architecture to execute off-site payment processing to avoid commissions is strictly prohibited. Engaging in circumvention results in immediate, irreversible account closure, along with a penalty fee equivalent to the commission due on the bypassed booking.

7. DATA PRIVACY COMPLIANCE (MOROCCAN LAW 09-08)

  • Processing of Public vs. Private Data: The Platform processes public business contact details for directory operations under fair-use information metrics. Any personal traveler information, customer identity data, or private user credentials collected during bookings are handled in strict isolation and compliance with Moroccan Law No. 09-08 (Protection of Individuals with Regard to the Processing of Personal Data).
  • Data Breach Protocols: Partners are legally restricted from using traveler personal data for independent, unapproved marketing lists. Any data security breach or unauthorized access to customer files must be reported to Destination.ma immediately.

8. INTELLECTUAL PROPERTY & TRADEMARKS

  • Unclaimed Profile Media: Images and logos used on unclaimed directory profiles are collected from publicly accessible corporate channels to represent the business accurately. If you are the intellectual property owner and object to the display of your media, you may request an immediate update or asset replacement.
  • Claimed Content License: By uploading images, videos, profiles, or promotional descriptions to Destination.ma following a profile claim, you grant the platform a non-exclusive, global, royalty-free license to use and distribute this media inside our marketing campaigns and social media channels.
  • Review Authenticity: Only verified users who have completed an actual marketplace transaction are permitted to write consumer evaluations on the website. We maintain absolute authority to delete any comment containing profanity, fraudulent claims, or anti-competitive messaging.

9. LIMITATION OF LIABILITY & INDEMNIFICATION

  • Operational Outages: While we target optimal website uptime, Destination.ma cannot be held responsible for unavoidable server maintenance periods, temporary network dropouts, or technical system anomalies.
  • Directory Disclaimers: Under no circumstances shall Destination.ma be held liable for any commercial losses, customer service issues, or structural damages that occur between a consumer and an unclaimed directory business listed on our website.
  • Exclusion of Consequential Loss: To the maximum extent permitted under Moroccan legislation, we shall not be held liable for any indirect, incidental, or consequential damages, including loss of business revenue, unexecuted holiday plans, or operational profit drops.
  • User Indemnity: You agree to fully indemnify, defend, and hold harmless Destination.ma, its parent corporation, and its corporate employees from and against any third-party claims, legal lawsuits, or financial expenditures resulting directly from your breach of these Terms and Conditions.

10. LEGAL AMENDMENTS

We reserve the framework authority to modify these Terms and Conditions at any point. We will notify platform users of significant terms updates at least 15 days in advance (or 30 days in advance if partner commissions are scaled upward). Continued use of the platform interface following the active date of a terms update constitutes explicit acceptance of the newly revised framework.

11. GOVERNING LAW & COURT JURISDICTION

These Terms and Conditions are governed by and construed strictly under the laws of the Kingdom of Morocco. In the event of any operational conflict, dispute, or contractual disagreement, all transacting parties agree to first engage in good-faith amicable negotiation for a period of thirty (30) days. If no resolution is reached, the dispute shall be submitted to the exclusive legal jurisdiction of the Commercial Court of Tangier, Morocco.

12. ELECTRONIC ACCEPTANCE

  • Digital Signature Execution: As a User or Partner, you accept and agree to be fully bound by these Terms and Conditions by clicking the acceptance button or by continuing to use the Platform, in accordance with Moroccan Law No. 53-05 relating to the electronic exchange of legal data.
  • Legal Proof: The Platform records and archives the text of these Terms and Conditions, the exact date and time of acceptance, and the identifying details of the person who clicked, as definitive and legally binding proof before the courts.
